Update 8/20/25: There have been multiple developments since our original post. Marin Software received delisting from Nasdaq on June 26, 2025 after a stockholder meeting, and filed for Chapter 11 bankruptcy protection on July 1, 2025.
The bankruptcy filing introduces major changes to the original dissolution plan: a reorg is now now underway as opposed to a full shutdown. However, this news may still encourage Marin users to take immediate action for data protection and alternative solution exploration.
Recent Marin software news timeline
- April 10: Marin Software announced a plan of dissolution.
- June 26: Trading of Marin Software's common stock was suspended by NASDAQ at the opening of business due to their failure to file its required periodic reports.
- July 1: Marin filed for Chapter 11 and disclosed a lack of enough staff and auditor support to maintain normal SEC reporting.
- July 30: A reorganization plan was filed.
- August 28: Confirmation hearing for their reorganization plan is scheduled.

The company has established a reorganization deal with strategic investor Kaxxa Holdings to obtain $5.5 million in funding which will cover full creditor payments and stockholder distributions. In spite of their struggles, Marin Software maintains operational status during its reorganization process and claims there will be "no impact to their current customers."
What’s happening with Marin Software’s shutdown?
According to a press release from the company, Marin Software’s Board of Directors has approved a Plan of Dissolution and Liquidation (the "Plan of Dissolution") that is subject to the approval of Marin Software’s stockholders. If stockholders approve this Plan of Dissolution, Marin Software plans to:
- Wind down and cease operations in an “orderly” manner;
- Delist from Nasdaq;
- Satisfy its outstanding liabilities and debts;
- Dispose of some or all of its assets; and
- Distribute net proceeds to stockholders.
The company aims to present this plan to stockholders during Q2 2025 for approval. Once it’s approved, Marin Software “will begin the dissolution process in accordance with Delaware Law.”
What does Marin Software’s shutdown mean for me?
If you’re a current Marin Software user, we suggest doing two things to ensure you’re covered ahead of Marin’s operational shutdown:
- Reclaim full ownership of your ad platform credentials and data. Work with your Marin representative to make sure you have direct access to your data and ad platform accounts (Google Ads, Meta, Microsoft Ads, etc.). Maintaining access to all of your current ad platforms is critical due to their dissolution.
- Evaluate what you need in your next digital advertising solution. Before moving to another platform for PPC and paid social campaign management, determine the capabilities you need in a new solution.
